SYDNEY, NEW SOUTH WALES
Healthcare business valuations in Sydney
HPNA values healthcare businesses in Sydney from its office at 377 New South Head Road, Double Bay NSW 2028. We value medical and dental practices, pharmacies, NDIS providers, allied health, veterinary and aged care businesses. In New South Wales the figure turns on rules published by state bodies: Revenue NSW's treatment of payments to contracted practitioners and its Bulk Billing Support Initiative rebate, the Pharmacy Council's ownership rules, and the duty rules that follow a sale. Reports are independent, signed by Jackson Wilson, and charged at a published fixed fee with no commission.

Working with HPNA in Sydney
How an engagement runs from our Sydney office
We meet at 377 New South Head Road, Double Bay, or by video. Most of an engagement is conducted remotely, and we attend premises by arrangement where fitout, plant or stock carries real value, such as a pharmacy holding a shopping centre lease. We confirm which New South Wales rules apply, set the subject, purpose and valuation date in writing, and agree the fixed fee before work starts. Jackson Wilson signs the report and is accountable for the method, the conclusion and the independence declaration. Call 0433 475 518 (Monday to Friday, 9:00am to 5:30pm AEST), see how it works, or request a valuation.

New South Wales rules that change a healthcare valuation
These rules come from Revenue NSW, the Pharmacy Council of New South Wales and the State Insurance Regulatory Authority. Each can change the earnings a buyer will rely on or the structure it can lawfully use. Whether a rule applies to your business is a question for your accountant or lawyer. A valuation states the assumption it makes.
Payroll tax on contracted practitioners: Revenue NSW ruling PTA 041
Revenue NSW ruling PTA 041, issued on 11 August 2023 and effective from 1 July 2018, explains how the relevant contract provisions in Division 7 of Part 3 of the Payroll Tax Act 2007 apply to entities conducting a medical centre business, expressly including dental clinics, physiotherapy practices and radiology centres. Where a contract is a relevant contract, the centre is deemed the employer, the practitioner a deemed employee and the payments wages. In Thomas and Naaz Pty Ltd v Chief Commissioner of State Revenue [2023] NSWCA 40 the Court of Appeal dismissed the summons seeking leave to appeal against assessments on payments to contracted doctors. Revenue NSW records that most of those doctors had Medicare benefits paid into an account in the operator's name, so how a practice collects and distributes assigned benefits is a valuation fact. See payroll tax, contractor arrangements and medical practice value.
Bulk Billing Support Initiative: relief tied to billing mix
Revenue NSW paused payroll tax audits of medical practices engaging general practitioners from 4 September 2023 and states that audits recommenced on 4 September 2024 with the Bulk Billing Support Initiative. Medical centres paying contractor general practitioners receive relief as a rebate if conditions are met: at least 80 per cent of the centre's general practitioner services in metropolitan Sydney, and at least 70 per cent elsewhere, must be bulk billed or provided under approved veterans arrangements, counted on services and tested at each location. Revenue NSW states that the rebate does not reach employed general practitioners, non-GP specialists, pathology or allied health, and that the Revenue Legislation Amendment Act 2024 exempts unpaid payroll tax on relevant general practitioner wages paid or payable before 4 September 2024. A buyer who intends to change the billing mix will price the relief it would lose.
Pharmacy ownership: the Pharmacy Council of New South Wales
The Pharmacy Council states that, with a few limited exceptions, you must be a registered pharmacist to hold a financial interest in a pharmacy, and that the permitted holders are sole pharmacist operators, a partnership of registered pharmacists or a pharmacists' body corporate. No one may hold an interest in more than five pharmacies in the state, and the Council must be told of relevant changes to the business and to financial interests. A deceased pharmacist's shares cannot simply pass to a family member, which constrains both a shareholders agreement and the field of buyers. See pharmacy valuations.
Transfer duty and evidence of value
Revenue NSW states that goodwill, intellectual property, statutory licences and debtor receivables are not dutiable on a business purchase, while land, an interest in land such as an assigned lease, and fixtures are, and that moveable goods become dutiable when sold in an agreement that also contains dutiable property. In Revenue Ruling DUT 012 version 4 it says brief market appraisals, estimates of value or other statements that do not indicate a full inspection has been undertaken will not be acceptable as evidence of value for land, and that other dutiable property must be valued by a person whose business it is to make valuations of that class of property. A valuation therefore allocates value across each class at one date, and your accountant or lawyer applies the duty rules. See tax and restructure valuations.
Workers compensation approvals sit with the clinician
In New South Wales, physiotherapists, chiropractors, osteopaths, psychologists and certain other allied health practitioners must be approved by the State Insurance Regulatory Authority (SIRA) before providing services in the workers compensation scheme. For the board-regulated professions approval takes general Ahpra registration and SIRA's introductory training program, and SIRA can decline, suspend or revoke it. A physiotherapist's approval number is unique to the practitioner, cannot be used by anyone else and is valid across each location they work. A buyer therefore acquires compensable revenue only to the extent the approved clinicians stay.
How the sectors we value show up in New South Wales
Medical practices. In metropolitan Sydney the Bulk Billing Support Initiative rebate depends on at least 80 per cent of a centre's general practitioner services being bulk billed or provided under approved veterans arrangements, so the billing mix of a medical practice decides the payroll tax cost the earnings carry.
Dental practices. Revenue NSW treats dental clinics as part of the medical services industry for payroll tax, but the rebate does not assist them. Since 1 December 2025 the NSW Environment Protection Authority has exempted registered dental practitioners from holding a radiation user licence for extra-oral apparatus used with intra-oral image receptors, orthopantomogram and lateral cephalometric apparatus, but not for cone beam computed tomography. See dental practice valuations.
Pharmacies. The five-pharmacy limit shapes the buyer pool. NSW Health states that appropriately trained pharmacists may administer selected vaccines without a prescription under the NSW Pharmacist Vaccination Standards, so service income is tested for capacity.
Allied health. SIRA approvals attach to the clinician. See physiotherapy practice valuations.
Veterinary practices. A veterinary hospital licence is required to perform major surgery or to advertise premises as a veterinary hospital, and a registered practitioner must manage the premises. See veterinary practice valuations.
FAQs
Healthcare business valuations in Sydney: FAQs
Who can value a healthcare business in Sydney?
A business broker, an accountant or an independent valuer can each put a figure on a Sydney healthcare business, but the documents differ. A broker's appraisal estimates a likely sale price and is normally prepared by the person who would earn a commission on the sale. The Australian Taxation Office says the acceptability of a valuation for tax usually depends on the process followed, not on who prepared it. An independent valuation is a signed opinion of value at a stated date and for a stated purpose. HPNA values healthcare businesses only, from 377 New South Head Road, Double Bay. We take no commission and publish a fixed fee, plus GST.
Does the Bulk Billing Support Initiative affect what a Sydney medical practice is worth?
It can. The rebate lowers the payroll tax a medical centre bears on payments to contractor general practitioners, but only where at least 80 per cent of its general practitioner services in metropolitan Sydney are bulk billed or provided under approved veterans arrangements. That ties part of the cost base to the billing mix: moving away from bulk billing can raise the cost and remove the relief at once. A valuation reflects the cost the earnings should carry at the valuation date, with any exposure for earlier periods shown separately. Confirm your position with your accountant.
Who can own a pharmacy in New South Wales?
With a few limited exceptions, only a registered pharmacist. The Pharmacy Council of New South Wales states that the permitted holders of a financial interest are sole pharmacist operators, a partnership of registered pharmacists or a pharmacists' body corporate, and that no one may hold an interest in more than five pharmacies in the state. A buyer must also apply for its own PBS approval under section 90 of the National Health Act 1953 for the same premises. A valuation reflects the realistic pool of buyers. See pharmacy valuations.
Is goodwill dutiable when I sell a business in New South Wales?
Revenue NSW states that goodwill, intellectual property, statutory licences and debtor receivables are not dutiable on a business purchase, while land, an interest in land such as an assigned lease, and fixtures are. Moveable items such as clinical equipment become dutiable when they are sold in an agreement that also contains dutiable property, so an assigned lease can pull them in. A valuation allocates value across each class at one date so the contract can be reconciled to the whole. Whether duty is payable, and how much, is for your accountant or lawyer.
Do workers compensation approvals transfer when I sell an allied health practice in NSW?
Generally not. In New South Wales a physiotherapist must hold their own SIRA approval to treat injured workers, which requires general Ahpra registration and SIRA's introductory training, and the approval number is unique to them and cannot be used by anyone else. A buyer therefore acquires compensable revenue only to the extent the approved clinicians stay. HPNA identifies which clinicians sit behind each revenue line and weights it for transfer risk. See allied health business valuations.
What does a valuation cost for a Sydney practice with a service entity?
The fee is set once, on the annual revenue of the business as a whole. A business with annual revenue between $3 million and $10 million, such as a medical centre with a service entity, pays $4,950 plus GST for a valuation report. The first entity is included and each additional entity analysed is $795 plus GST, agreed in the engagement before work starts. The full schedule is on the pricing page. The fee does not depend on the conclusion.
