PERTH, WESTERN AUSTRALIA

Healthcare business valuations in Perth

HPNA values healthcare businesses in Perth and across Western Australia, and meets owners and their advisers in Perth by appointment because it has no street address there. We have offices in Melbourne, Sydney and Brisbane, and most of an engagement is conducted remotely. We value medical and dental practices, pharmacies, NDIS providers, allied health, veterinary and aged care businesses. The figure turns on state rules: payroll tax that is not harmonised with the other states, a four-business pharmacy ownership limit, duty on business assets, and premises registration for veterinary practices. Reports are independent, signed by Jackson Wilson, and charged at a published fixed fee with no commission.

Working with HPNA in Perth

How an engagement runs for a Perth business

Meetings in Perth are by appointment, and we publish no street address there. Most of an engagement is conducted remotely: information is exchanged securely, questions are handled by email and video meeting, and the draft and final report are delivered electronically. We attend premises by arrangement where fitout, plant or stock carries real value, such as a pharmacy or a veterinary hospital. We confirm which Western Australian rules apply, set the subject, purpose and valuation date in writing, and agree the fixed fee before work starts. We are an independent valuation practice, not an accounting firm, and we follow the APES 225 guidelines by choice. Call 0433 475 518 (Monday to Friday, 9:00am to 5:30pm AEST), see how it works, or request a valuation.

Western Australia

Western Australian rules that change a healthcare valuation

These rules come from the Government of Western Australia, RevenueWA and Western Australian legislation. Each changes the earnings a buyer will rely on, who can lawfully buy, or how a sale price is allocated. Whether a rule applies to your business is a question for your accountant or lawyer. A valuation states the assumption it makes.

  • Payroll tax is not harmonised

The Government of Western Australia's payroll tax employer guide states that Western Australia is not harmonised with the other jurisdictions on the treatment of contractors, that the totality of the relationship decides whether a worker is an employee or a contractor, and that all payments are taxable where the relationship is akin to employment. The relief measures for general practitioners that New South Wales, Victoria and Queensland have each set on their own terms are those states' measures, so the position for a Perth practice is confirmed for Western Australia at the valuation date rather than assumed from another state. A group operating in more than one state can face different questions about the same agreement. See payroll tax, contractor arrangements and medical practice value.

  • Pharmacy ownership: a limit of four businesses

Section 55 of the Pharmacy Act 2010 (WA) provides that a pharmacist must not own, or hold a proprietary interest in, more than four pharmacy businesses at any one time. That is one fewer than the limit of five that applies in New South Wales, Victoria and Queensland. A pharmacist already at the cap is not a buyer without first selling, and non-pharmacist capital cannot hold the business outright, which narrows the pool of purchasers. A buyer must also apply for its own PBS approval under section 90 of the National Health Act 1953 for the same premises. See pharmacy valuations.

  • Duty on business assets: goodwill and restraints of trade

RevenueWA's Duties Fact Sheet on business assets treats goodwill, a restraint of trade arrangement, a business identity and things in the nature of client lists as business assets in their own right, assessed on the greater of the consideration and the unencumbered value. Because a restraint of trade arrangement is a dutiable business asset in Western Australia, the allocation of a sale price between goodwill, plant, stock, the lease and any restraint is examined rather than assumed. A valuation values each class at one date so the contract can be reconciled to the whole. Whether duty is payable, and how much, is for your accountant or lawyer. See tax and restructure valuations.

  • Veterinary premises are registered in the applicant's name

The Veterinary Practice Act 2021 (WA), in force since 18 June 2022, registers veterinary premises rather than only practitioners. Section 39 requires a veterinary supervisor who is a Western Australian veterinarian and the person in whose name premises are registered to be a practice owner and not bankrupt, and section 40(2) registers them in the applicant's name, so a buyer applies rather than inheriting the seller's registration. The Act is amended from time to time, so the position is confirmed at the valuation date rather than assumed. See veterinary practice valuations.

  • Land is valued by a licensed land valuer

Where a practice owns its premises, the land is valued separately. The Australian Taxation Office's valuation guide notes that land valuations in Western Australia must be undertaken by a licensed land valuer. HPNA values the operating business, adopts the property valuer's figure as a stated input, and restates any related-party rent to market before earnings are struck.

How the sectors we value show up in Western Australia

Pharmacies. The four-business limit narrows the pool of buyers more than in the eastern states, and because the PBS approval attaches to the premises, the lease and the approval are read together. See pharmacy valuations.

Veterinary practices. The registration of the premises does not transfer in a sale. An experienced nursing team that releases veterinarian time is one of the value drivers we test. See veterinary practice valuations.

Medical, dental and allied health practices. Because contractor treatment in Western Australia is judged on the totality of the relationship, a practice that pays practitioners a share of fees is tested against that approach, not against a rule borrowed from another state. See medical practice valuations and allied health business valuations.

NDIS and aged care. These are Commonwealth schemes, and the facts we publish for them are national. An NDIS registration is linked to a single ABN and is not transferable, and an aged care provider holds one registration with the Aged Care Quality and Safety Commission under the Aged Care Act 2024. See NDIS business valuations and aged care business valuations.

FAQs

Healthcare business valuations in Perth: FAQs

Who can value a healthcare business in Perth?

A business broker, an accountant or an independent valuer can each put a figure on a Perth healthcare business, and they produce different documents. A broker's appraisal estimates a likely sale price and is normally prepared by the person who would earn a commission on the sale. An accountant's view is a separate engagement, and the Australian Taxation Office says acceptability for tax usually depends on the process followed rather than who prepared the figure. An independent valuation is a signed opinion of value at a stated date and for a stated purpose. HPNA values healthcare businesses only, meets owners and their advisers in Perth by appointment, takes no commission and charges a published fixed fee, plus GST.

Can HPNA value a Perth practice without an office in Perth?

Yes. HPNA has offices in Melbourne, Sydney and Brisbane, meets owners and their advisers in Perth by appointment and has no street address there. Most of an engagement is conducted remotely: financial and operational information is provided securely, and discussions with the owner, practice manager or adviser are held by video or telephone. A site visit can be arranged where the premises, fitout, equipment or layout matter to the conclusion. The valuation reflects the rules that apply where the business operates, which in Perth means Western Australian rules.

How does Western Australian payroll tax affect a Perth practice valuation?

It is assessed on Western Australia's own terms. The Government of Western Australia's payroll tax employer guide states that Western Australia is not harmonised with the other jurisdictions on contractors, that the totality of the relationship decides whether a worker is an employee or a contractor, and that all payments are taxable where the relationship is akin to employment. We reflect any ongoing cost in maintainable earnings and show exposure for earlier periods separately. Your accountant or lawyer should confirm how your agreements are treated.

How many pharmacies can one pharmacist own in Western Australia?

Four. Section 55 of the Pharmacy Act 2010 (WA) provides that a pharmacist must not own, or hold a proprietary interest in, more than four pharmacy businesses at any one time, one fewer than the limit of five in New South Wales, Victoria and Queensland. A pharmacist already at the cap is not a buyer without first selling. A valuation reflects that narrower pool of buyers and the structure through which they could hold the business. Other pharmacy rules should be confirmed with the relevant regulator at the valuation date.

How does Western Australian duty affect the price allocation on a practice sale?

RevenueWA's fact sheet on business assets treats goodwill, a restraint of trade arrangement, a business identity and things in the nature of client lists as business assets in their own right, assessed on the greater of the consideration and the unencumbered value. A restraint of trade arrangement is therefore a dutiable business asset in Western Australia, so how the price is split matters. We value each class at one date so the contract can be reconciled to the whole. Your accountant or lawyer applies the duty rules.

What does a valuation cost where another party will test the figure?

HPNA's expert report tier applies to a shareholder or partnership dispute or an expert determination, where another party will test the conclusion. It is $4,495 plus GST for a business with annual revenue up to $10 million, and $16,950 plus GST above $10 million. A standard valuation report for a sale, buy-in or succession is priced separately by revenue band. Both schedules are on the pricing page, and the fee is agreed in writing before work starts. A family law property settlement goes to our dedicated family law practice, Family Law Valuations.
