Healthcare business valuations in Melbourne
HPNA values healthcare businesses in Melbourne from its office at Level 7, 55 Collins Street, Melbourne VIC 3000. We value medical and dental practices, pharmacies, NDIS providers, allied health, veterinary and aged care businesses. In Victoria the figure turns on state rules as well as the accounts: how the State Revenue Office treats payments to contracted practitioners, who may own a pharmacy under the Pharmacy Regulation Act 2010, and the lease and radiation licence terms attached to the premises. Reports are independent, signed by Jackson Wilson, and charged at a published fixed fee with no commission.

How an engagement runs from our Melbourne office
We meet at Level 7, 55 Collins Street, Melbourne, or by video. Most of an engagement is conducted remotely, and we attend premises by arrangement where fitout, plant or stock carries real value. You send accounts, billing or dispensing exports, practitioner agreements, the lease and any radiation licence. We confirm which Victorian rules apply, set the subject, purpose and valuation date in writing, and agree the fixed fee before work starts. The fee is set by annual revenue, charged plus GST, and does not depend on the conclusion. Call 0433 475 518 (Monday to Friday, 9:00am to 5:30pm AEST), see how it works and pricing, or request a valuation.

Victorian rules that change a healthcare valuation
Each rule below is published by a Victorian regulator or revenue office. It changes the earnings a practice should carry, who can lawfully buy, or what a buyer inherits with the premises. Whether it applies to your business is a question for your accountant or lawyer. The valuation states the assumption it makes.
Payroll tax on contracted practitioners: Revenue Ruling PTA-041
The State Revenue Office Victoria lists Revenue Ruling PTA-041, issued on 11 August 2023, as current, and states that it applies retrospectively as well as prospectively. It applies the relevant contract provisions of payroll tax law to medical centre businesses, naming dental clinics, physiotherapy practices, radiology centres and similar healthcare providers that engage practitioners to give patients access to their services. It follows Commissioner of State Revenue (Vic) v The Optical Superstore Pty Ltd [2019] VSCA 197, a decision of the Victorian Court of Appeal. Where practitioners are paid a share of fees and the accounts have never carried the tax, a valuation tests whether maintainable earnings should bear it and shows any exposure for earlier periods separately as a contingent liability. See payroll tax, contractor arrangements and medical practice value.
General practitioner wages: relief from 1 July 2025, and who it leaves out
The State Revenue Office states that changes announced on 22 May 2024 gave relief, through the Treasurer's ex gratia powers, on payments to contractor general practitioners for unpaid or future assessments up to 30 June 2024, and up to 30 June 2025 for businesses that had not received advice. From 1 July 2025 it states that wages paid by a general practice medical business to employee and contractor general practitioners are exempt where they relate to fully funded items of general practitioner work, apportioned by the value of that work. The exemption does not apply to non-medical general practice businesses, meaning allied health professionals and dentists. A Melbourne practice with a large private billing share, or with dentists or allied health clinicians under the same entity, can therefore still carry a cost the exemption does not remove.
Pharmacy ownership: Pharmacy Regulation Act 2010
The Victorian Pharmacy Authority states that under the Pharmacy Regulation Act 2010 ownership of a pharmacy business is confined to registered pharmacists, companies whose directors and shareholders are all registered pharmacists, and certain pre-1999 friendly societies, and that no pharmacist or eligible company may hold a proprietary interest in more than five separate pharmacy businesses. A pharmacist already at that limit is not a buyer without selling first, and capital from outside the profession cannot hold the business outright, which narrows the pool of purchasers a valuation can treat as the market. See pharmacy valuations.
Retail lease transfers and renewals
The Victorian Small Business Commission states that a request to transfer a retail lease, for example on a sale of business, must be in writing and include information about the financial resources and business experience of the proposed tenant, and that the landlord is taken to have agreed if no written response is given in the 28 days after the request. Where a lease contains an option to renew, it states that the landlord must give written notice of the renewal deadline no later than three months before the option lapses. Retail premises are defined by use, and many clinical tenancies meet the test. Whether the retail leasing rules apply to a particular lease is a question for your lawyer. A valuation reads the remaining term, options and assignment clause as the buyer will inherit them. See premises and lease terms in healthcare valuations.
Radiation management licences held by the legal entity
Victoria's Department of Health requires a radiation management licence, issued only to a legal entity and supported by a radiation management plan, before a dental practice may possess an OPG or CBCT unit, and requires the plan again when the licence transfers to another legal entity. Chiropractic and veterinary practices face the same entity-level licence, and in chiropractic the individual practitioner also needs a use licence. A lapse, or a licence nobody transferred, can delay settlement or reopen a price, so a valuation asks for the licence and the plan rather than assuming imaging carries across. See dental practice valuations.
How the sectors we value show up in Victoria
Medical practices. From 1 July 2025 the State Revenue Office exempts the fully funded share of general practitioner wages, so the billing mix of a medical practice decides how much payroll tax cost the earnings should carry.
Dental practices. Dental clinics sit inside PTA-041 but outside the general practitioner exemption, and a surgery with imaging carries the radiation management licence described above. See dental practice valuations.
Pharmacies. The five-business limit shapes who can buy. The Victorian Department of Health states that its Community Pharmacist Program is expanding to 23 conditions and services. Income of that kind needs trained pharmacists and a consultation room, so we test capacity rather than extrapolate it.
Allied health. WorkSafe Victoria funds psychology only from providers it has approved, and a physiotherapy provider must submit an Allied Health Recovery Management Plan in the first five consultations. Those approvals attach to the clinician, so compensable revenue can leave with them. See allied health business valuations.
Veterinary practices. Victoria has neither a premises licence nor an ownership restriction under the Veterinary Practice Act 1997, whereas New South Wales, Queensland, South Australia and Western Australia each license, approve or register the premises. See veterinary practice valuations.
FAQs
Healthcare business valuations in Melbourne: FAQs
Who can value a healthcare business in Melbourne?
A business broker, an accountant or an independent valuer can each put a figure on a Melbourne healthcare business, and they produce different documents. A broker's appraisal estimates a likely sale price and is normally prepared by the person who would earn a commission on the sale. The Australian Taxation Office states that the acceptability of a valuation for tax usually depends on the process followed rather than on who prepared it. An independent valuation is a signed opinion of value at a stated date and for a stated purpose. HPNA values healthcare businesses only, from Level 7, 55 Collins Street, Melbourne. We take no commission and charge a published fixed fee, plus GST.
How does Victorian payroll tax affect a Melbourne practice valuation?
It can lower maintainable earnings and create a liability a buyer will price. The State Revenue Office lists Revenue Ruling PTA-041 as current, and it applies to medical centre businesses including dental clinics. Since 1 July 2025, wages paid to general practitioners for fully funded work are exempt, but the exemption does not cover dentists or allied health professionals. We reflect the ongoing cost in earnings and treat any exposure for earlier periods separately. Whether your arrangements are caught should be confirmed with your accountant or lawyer.
Who can buy a pharmacy in Victoria?
Only a defined group. The Victorian Pharmacy Authority states that under the Pharmacy Regulation Act 2010 ownership is confined to registered pharmacists, companies whose directors and shareholders are all registered pharmacists, and certain pre-1999 friendly societies, and that no one may hold a proprietary interest in more than five separate pharmacy businesses. The buyer must also apply for its own PBS approval under section 90 of the National Health Act 1953 for the same premises. A valuation reflects that pool of buyers. See pharmacy valuations.
Does a Victorian lease transfer automatically when I sell my practice?
No. A sale of business assets requires the lease to be assigned, which normally needs the landlord's consent. The Victorian Small Business Commission states that a request to transfer a retail lease must be in writing and include information about the financial resources and business experience of the proposed tenant, and that the landlord is taken to have agreed if no written response is given in the 28 days after the request. A share sale does not assign the lease, but a change of control clause can still give the landlord rights. Whether the retail leasing rules apply to your premises is a question for your lawyer.
Does a dental practice's imaging licence pass to a buyer in Victoria?
Not automatically. Victoria's Department of Health requires a radiation management licence, issued only to a legal entity and supported by a radiation management plan, before a practice may possess an OPG or CBCT unit, and requires the plan again when the licence transfers to another legal entity. A valuation asks for the licence and the plan, because a lapse, or a licence nobody transferred, can delay settlement or reopen a price. Whether a transfer is needed depends on the structure of the sale, which your lawyer can confirm.
What does a healthcare business valuation cost in Melbourne?
HPNA charges a fixed fee set by the annual revenue of the business, published on the pricing page: $1,500 for revenue up to $1 million, $2,200 for $1 million to $3 million, $4,950 for $3 million to $10 million and $9,450 above $10 million, all plus GST. A business on a band boundary pays the lower fee. Each additional entity beyond the first is $795 plus GST. The fee is agreed in writing before work starts and does not depend on the conclusion.
